Corporate Tax registration and Corporate Tax payable are different questions. A business may need to register even when it expects little or no tax. Start with the legal person, licence history, financial year, activities, ownership, and applicable registration timeline.
Understand the headline rate bands
For taxable persons subject to the general rate, the Ministry of Finance states that a 0% rate applies to taxable income up to AED 375,000 and a 9% rate applies to taxable income above AED 375,000. Taxable income is not the same as turnover or cash in the bank; it begins from accounting results and is adjusted under Corporate Tax rules.
Identify who must register
Taxable juridical persons generally need a Corporate Tax Registration Number. The FTA also states that a natural person conducting a business or business activity in the UAE must register when total business revenue exceeds AED 1 million in a calendar year, excluding salary, private investment income, and real-estate investment income for that test.
Prepare for the EmaraTax application
- Certificate of incorporation or partnership documents
- Commercial registration and valid trade licences, including branches
- Emirates ID and passport details for relevant owners and signatories
- Proof that the signatory is authorised
- Financial year and business-activity information
- Clear ownership and group structure
Treat free-zone status carefully
A free-zone licence does not automatically make every dirham of income subject to a 0% rate. Qualifying Free Zone Person status has conditions, and income can require classification. Registration, return filing, transfer-pricing, substance, and recordkeeping obligations may still apply.
Avoid registration errors
- Assuming no tax payable means no registration
- Using the licence issue date without reviewing the applicable deadline rules
- Registering a domestic branch separately when it is part of the same legal person
- Confusing revenue with taxable income
- Ignoring changes in ownership, activities, or financial year
